Terms of Service

1. The parties

These Terms form a binding agreement between you and Empowerment Support Group LLC("we", "us", "our"), the provider of the EchoSphere Notes service (the "Service"). By creating an account or otherwise using the Service you agree to these Terms.

2. Eligibility and authority

You must be of legal age in your jurisdiction. If you use the Service on behalf of an organization, you represent that you have authority to bind it to these Terms.

3. The Service

EchoSphere Notes provides AI-assisted transcription and clinical note generation for mental health practitioners. The Service is a documentation workflow tool only: it does not provide medical advice, diagnosis, treatment, crisis support, or clinical decisions, and it is not a medical device. You are responsible for any client consent required to record or upload session content, for verifying the accuracy of generated output, and for all clinical decisions. Outputs may be inaccurate and are not a substitute for your professional judgment.

We may filter, restrict, or remove content, refuse outputs, and suspend or terminate accounts that violate these rules.

6. Intellectual property

We own the Service, including software, branding, and documentation. We grant you a limited, non-exclusive, non-transferable right to use the Service within the plan you have purchased. You retain ownership of content you upload; you grant us a limited license to host and process it solely to provide the Service.

7. Payment, subscriptions, and Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries related to payment and handles refunds. Subscriptions renew automatically until canceled, and applicable taxes are added at checkout.

8. Suspension and termination

We may suspend or terminate access for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. You may stop using the Service at any time. On termination, your right to use the Service ends; you may export your data for a reasonable period before deletion.

9. No professional advice; disclaimers

The Service is provided "as is" without warranties of any kind. To the fullest extent permitted by law, we disclaim all implied warranties including merchantability, fitness for a particular purpose, and non-infringement. The Service is not a substitute for licensed clinical, legal, or other professional advice.

10. Limitation of liability

To the maximum extent permitted by law, our aggregate liability arising out of or relating to the Service is limited to the fees you paid us in the twelve months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill. Nothing in these Terms excludes liability for fraud, gross negligence, or other liability that cannot be excluded by law.

11. Indemnity

You will indemnify us against third-party claims arising from your content, your use of the Service in breach of these Terms, or your violation of law.

12. Changes

We may update these Terms; material changes will be communicated in-app or by email.

13. Governing law

These Terms are governed by the laws of the jurisdiction in which Empowerment Support Group LLC is established, without regard to conflict-of-laws rules. Courts of that jurisdiction have exclusive jurisdiction over disputes, subject to any non-waivable consumer protection rights.

14. Miscellaneous

These Terms are the entire agreement between us and supersede prior agreements. You may not assign them without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. If any provision is unenforceable, the remainder remains in effect.
